About the role: Forter is looking for a Senior Legal Counsel, Corporate & Securities to join our fast-growing Legal team. We have a huge opportunity in front of us, and the person we hire for this role will play a key part in ensuring we can seize it. Reporting to our General Counsel, this role will be the sole dedicated corporate and securities lawyer, focusing on corporate, securities, equity, strategic transactions and more, as well as employment and litigation matters.
As a dynamic and lean legal team, we all wear a lot of different hats, so expect to get experience in commercial, privacy, product, and intellectual property matters as they arise. We have a preference for New York based candidates, but are open to hearing from remote candidates throughout the United States (must be based on the East Coast). What you’ll be doing: Build and scale the corporate legal function Manage our equity program, with the assistance of our Equity Plan Manager (who will report into you) Drive transaction readiness and other compliance efforts, including the development and maintenance of policies, procedures, and training initiatives Provide legal support for corporate transactions, including securities offerings, financings, investments, acquisitions and divestitures and other strategic transactions, and provide oversight on executive compensation administration Assist with the preparation and planning for board and committee meetings and the annual meeting of stockholders Oversee global corporate administration efforts, including compliance with international, federal, and state laws, maintaining foreign and domestic entities, and executive compensation and stock administration Collaborate cross-functionally with other members of the team and other functions including Finance, HR, Marketing, and staff across other departments What you’ll need: J.D.
degree from an A.B.A. accredited law school; and admitted and member in good standing of a state bar, preferably New York or California 5+ years of experience as a corporate and securities counsel. Not required, but a bonus if you have experience working in-house General corporate transactional experience with a strong background in securities laws; comfortable negotiating and managing corporate transactions (debt and equity financing, secondaries, M&As, JVs) Experience working at a high growth technology company, in particular at a B2B software or SaaS company High ethical standards and strong communication skills Willingness to work cross-functionally and on projects that are new and/or unfamiliar Ability to work on multiple issues simultaneously and set appropriate priorities while delivering results efficiently About Us: Commerce is evolving faster than the systems built to support it.
