The Director will be a leader serving private equity, direct lenders and corporate clients by supporting buy-side and sell-side transactions, transaction structuring, and transaction-related modeling.

This role is intended for a strong federal transaction tax generalist with meaningful experience in partnership taxation and partnership tax modeling. The Director will report directly to senior leaders and oversee a broad range of responsibilities across buy-side and sell-side transactions, post-closing integration, restructuring, and related advisory workstreams. You will lead key initiatives, manage discrete workstreams and work closely with senior leaders.

Responsibilities Perform and lead federal tax due diligence on buy-side and sell-side transactions, including review of tax returns, legal documents, financial information, and other diligence materials to identify and evaluate material tax risks and opportunities Advise clients and engagement teams on transaction structuring alternatives, including the federal income tax consequences of taxable and tax-free transactions involving corporations, LLCs, and partnerships Review and analyze tax aspects of financial models, purchase agreements, rollover structures, and structuring calculations Build and review transaction-related models addressing basis step-up, tax attribute utilization, interest limitation considerations, transaction costs, stock versus asset considerations, and related tax economics Support the team in analyzing partnership tax matters, including sections 704(b), 704(c), 705, 707, 731, 734, 743, 751, and 754, as relevant, and apply those rules to rollover structures, basis adjustments, disguised sale issues, debt allocations, hot asset issues, and other partnership-specific transaction matters Analyze and model partnership transaction issues, including section 754 elections, inside and outside basis adjustments, section 704(c) layers, disguised sales, liability allocation questions, and related tax consequences arising in acquisitions, restructurings, and internal reorganizations Draft clear, concise, client-ready memoranda and reports outlining key tax issues, modeling outputs, structuring observations, and recommendations Assist with sell-side tax support, including tax issue identification, bidder Q&A support, and review of tax provisions in transaction documents Provide practical tax input on post-close integration, restructurin
