Legal Counsel Real estate firm London (1 day WFH) £100K-£110K + bonus Permanent role The duties Commercial contracts Support the development and operation of contract review processes for the organisation Support the development and operation of contract signing authorities and processes for the organisation Ensure commercial contracts are reviewed appropriately (taking into account their value, importance and risk profile) Ensure any material contractual risks are either mitigated or reported to an appropriate member of the Executive Committee for consideration Governance Support the Company Secretary in her role as secretary to the Board Report to the Board and Executive Committee on relevant legal, regulatory and governance developments, ensuring they remain up-to-date and aware of legal, regulatory or governance matters relevant to the organisation Ensure statutoryand regulatory filings are completed promptly and necessary records maintained Provide strategic input and support on the organisation’s ESG initiatives, including membership of operational ESG-related committees as appropriate Provide key input and drafting in the preparation of the Annual Report, in particular with the governance section, and ensure that all legal requirements are fulfilled Compliance Proactively identify initiatives or projects where legal support is likely to be required, and ensure such projects or initiatives are appropriately supported from a legal perspective, sufficiently in advance of deadlines to ensure the business is prepared for future requirements Provide clear and legal advice to the organisation as required Data Protection Support the Company Secretary in their role as Data Protection Officer Ensure the organisation conducts data privacy impact assessments (DPIAs) and legitimate interest assessments (LIAs) as necessary and appropriate Risk Management Play a key role in legal risk management for the organisation Manage the operational Regulatory Risk Register, including identification, assessment, scoring, mitigation and reporting of legal and regulatory risk Support the Company Secretary with preparations for Provision 29 of the UK Corporate Governance Code 2024 The Requirements England & Wales qualified solicitor Ideally experience in governance, and commercial contracts
